In all companies, it is most likely that they have their own business strategies that are made up of confidential information. Companies have their own trade secrets that they use to compete with other businesses. The fierce competition nowadays is the result of the continuous increase of businesses that are established. Protecting your companyandrsquo;s trade secrets is vital in ensuring the success of your company. There are limits when it comes to the persons liable when a trade secret is divulged. An instance wherein the limit in protection against the violation of trade secrets is evident is when an employee reveals a trade secret to your company's competitors. The employee will be liable for it but not your competitors, as long as they had no idea that the information revealed to them by your employee is a trade secret.

The definition of a trade secret may vary from one state to another. Its definition depends on the area where the business is operating. It is known in most states as an idea, compilation of information, physical device, pattern, or a formula that gives businesses a competitive advantage over other businesses. In addition, trade secret is treated in a way that can rationally be assumed to stop the competitors or public from knowing about it, stealing it, or inappropriately acquiring it.

Trade secrets are supposed to be confidential but they can be shared to an extent that it will not ruin its status as trade secrets. It is vital for a company to protect its trade secrets because if it becomes known to other people rather than those who are supposed to know it, it might be stolen or copied. Some of the protective measures that should be done to protect trade secrets include:

- Treating the employees well- There are times wherein the employees who chooses to reveal a company's trade secret to others are the ones who were treated unfairly or discriminated in their workplace. It will be for the benefit of all employers if they give their employeesandrsquo; needs as well as proper trainings.

- Require your employees to sign a non-compete agreement- A non-compete agreement contract will forbid your employees from working in a company that is a competitor of yours for a certain period of time after their employment with your company ends.

- Do not enter into business transactions that are suspicious- Only transact with individuals or companies that has good reputation for their integrity. Never share the company's strategies, and secrets to those whom you think are not worthy of hearing the information.
