How to register a company in Australia
Registering a company in Australia has never been so easy, the process is transparent, easy and more so it is convenient. Registering a company requires utmost planning and seriousness because with these legalities involved, you do not want to brush with the law negatively. The name of a company is a signature and hence the importance of registering it under the right laws and regulations. Registering the name is not enough you also need to choose in which way your business or company will be structured.
After settling upon a business structure and a name for the business it is now time to determine whether the company will operate under the duplicate set of laws or the constitution. Management is the core foundation for a company, therefore before registering a company you have to set up ground decisions on how the company will be managed. A company in Australia can be either governed through the replaceable rules which will not apply to a sole director or shareholder of the company and through its own constitution, in some cases the company can be governed by both combinations. If you register a company through a constitution there are some laws that come with it. A proprietary company for example will not be asked to lodge its constitution during registration but it will be important to put together the constitution with the company records incase they are needed. A public company, however, will be asked for the constitution when registering.
The other step is to get a signed approval from the following; a director, secretary and the members who must be of eighteen years and above. Australia rules state that the director and secretary who will fill up the roles in the (proprietary) company must be living in Australia. A public company on the contrary must have three directors or more and at least one secretary. Every member of the company must sign a liability form incase the company is required to pay when the company winds up.
The other step in how to register a company in Australia is to fill and complete the application form. Once you have cleared the processes above it is now time to fill in the application for registration as a company. Here are some of the details you will be asked to fill about; registered office details, type and class of the company, the details of the director and secretary, principle business office details and the members share structures.
A certificate of registration will be given after the above details have been accepted and certified, and the complete fee cleared. From then on the company will be labeled as a legal company under the laws in Australia; it will remain so until the company is by chance de registered. Company registration can be found online with services provided by ASIC, remember to keep a copy of the forms that were involved in the registration.
